Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Zyrix payment orchestration platform, websites, and APIs (collectively, the "Services") provided by Zyrix Technologies Inc. By creating an account or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you are authorized to bind that business.
1. The Services
Zyrix provides payment orchestration and related financial-technology services that route transactions across third-party providers and offer intelligence, settlement, and merchant tooling. Zyrix is a technology platform; it is not a bank and does not provide banking services except where expressly stated and duly licensed.
2. Eligibility and Accounts
You must be a legally constituted business and complete our onboarding, identity, and compliance verification. You are responsible for the accuracy of the information you provide, for safeguarding your credentials and API keys, and for all activity under your account.
3. Merchant Obligations
You agree to use the Services lawfully; to comply with the rules of card networks, providers, and applicable regulators; to maintain accurate records; and to refrain from prohibited or high-risk activities identified in our Acceptable Use requirements and Anti-Money-Laundering Policy.
4. Fees and Settlement
Fees are set out in your selected plan and order. Settlement timing depends on the relevant provider, currency, and your account standing. We may offset fees, refunds, chargebacks, and reserves against amounts payable to you, as permitted by law and your agreement.
5. Acceptable Use
You may not use the Services to facilitate unlawful activity, infringe intellectual-property rights, transmit malicious code, circumvent security, or process payments for prohibited businesses. We may suspend or limit access where we reasonably suspect a breach or a legal or security risk.
6. Third-Party Providers
The Services connect to third-party payment providers and banks whose terms and availability are outside our control. Zyrix is not responsible for the acts, omissions, or outages of third parties, though we work to route around disruptions where feasible.
7. Intellectual Property
Zyrix and its licensors retain all rights in the platform, software, and brand. We grant you a limited, revocable, non-exclusive right to use the Services per these Terms. You retain all rights in your own data and content.
8. Disclaimers and Limitation of Liability
The Services are provided "as is" to the fullest extent permitted by law. To the maximum extent permitted, Zyrix shall not be liable for indirect, incidental, or consequential damages, and our aggregate liability shall not exceed the fees you paid for the Services in the three months preceding the claim. Nothing limits liability that cannot lawfully be excluded.
9. Indemnification
You agree to indemnify Zyrix against claims arising from your breach of these Terms, your unlawful use of the Services, or your violation of third-party rights or applicable law.
10. Term and Termination
Either party may terminate as provided in your plan. We may suspend or terminate immediately for material breach, legal requirement, or risk to the network. Obligations that by their nature survive termination—including fees, confidentiality, and record-keeping—shall continue.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without prejudice to mandatory consumer- and merchant-protection rules of your jurisdiction, including in Türkiye, Saudi Arabia, and the Gulf states. Disputes shall be resolved by binding arbitration or the competent courts as specified in your order form, after good-faith efforts to resolve them amicably.
12. Changes and Contact
